Service
Terms.

These terms explain how Northwoods Art Co. handles custom apparel design projects. A project-specific quote, invoice, or written agreement may add to or replace a section below.

Effective August 29, 2026

1. Services

Northwoods Art Co. provides digital apparel artwork, creative concepts, revisions, garment mockups, and final digital files as described in the selected package or written quote.

Printing, embroidery digitizing, screen-print separations, garment sourcing, and physical production are not included unless they are specifically listed in writing.

2. Quotes and payment

Pricing and the required payment schedule will be stated in the project quote or invoice. Work begins after the required upfront payment and all reasonably necessary project materials are received.

Final production-ready files are delivered after the remaining balance is paid. Rush fees, additional revisions, added deliverables, or a new creative direction may require an additional quote.

3. Concepts and revisions

Concepts are supplied for direction and selection. They are not production-ready files. The package includes only the number of finished designs, resets, and revision rounds stated in the package or quote.

A revision adjusts the selected direction. A major change in the brief, audience, style, wording, or creative direction may be treated as new work.

4. Client materials

The client confirms that they have permission to provide and use all names, logos, trademarks, photographs, mascots, artwork, references, and other supplied materials. The client is responsible for the accuracy of wording, dates, names, colors, and other factual information.

Northwoods Art Co. may refuse material that appears unlawful, infringing, deceptive, hateful, or otherwise inappropriate for the project.

5. Approval

The client is responsible for carefully reviewing proofs. Written approval confirms that the design, wording, placement, spelling, colors, and dimensions are acceptable.

Changes requested after approval or final delivery may be billed as additional work.

6. Rights and ownership

Client-supplied assets remain the client’s assets. After full payment, the client receives the usage rights described in the project quote for the approved final design.

Unused concepts, drafts, working files, prompts, production methods, and source materials remain the property of Northwoods Art Co. unless the written agreement states otherwise. Exclusivity, transfer of copyright, editable source files, or trademark assistance must be specifically stated in writing.

Northwoods Art Co. may display completed, publicly released work in its portfolio unless the project is designated confidential or white-label in writing.

7. Printing and color

Digital mockups are visual previews. Screen colors, garment colors, ink, fabric, print method, and equipment can change the physical result. The client and chosen printer are responsible for final production testing, separations, trapping, underbases, thread setup, and other production-specific requirements unless those services were purchased separately.

8. Timing and delays

Turnaround estimates begin after payment, materials, and a usable brief are received. Client feedback, missing assets, changed scope, technical problems, emergencies, or circumstances outside reasonable control may adjust the schedule.

If the client does not respond for 30 days, the project may be placed on hold and may require rescheduling before work resumes.

9. Cancellation

The client may cancel in writing. Payments already applied to reserved time, concepts, completed work, purchased assets, or non-refundable expenses are not refundable. If any refund is due, it will be based on the unperformed portion of the agreed work.

Northwoods Art Co. may end a project for nonpayment, abusive conduct, unlawful requests, repeated scope changes, or failure to provide necessary feedback or materials.

10. Liability

Northwoods Art Co. does not guarantee sales, fundraising results, trademark availability, legal clearance, or a particular printer’s output. To the extent permitted by law, Northwoods Art Co.’s total liability for a project will not exceed the fees actually paid for that project, and neither party will be responsible for indirect or consequential losses.

11. General terms

These terms and the written project documents form the agreement between the parties. Changes must be agreed in writing. If one part is unenforceable, the remaining terms continue to apply. Michigan law governs the agreement, without regard to conflict-of-law rules.

Questions about these terms can be sent through the project brief form on the Northwoods Art Co. website.

Project-specific terms control. If a signed agreement, accepted quote, or invoice conflicts with these general terms, the project-specific document controls.
